Agreement to Terms
By engaging with KEENOPS services (operating as KEENOPS FZ-LLC in the UAE and KEENOPS SASU in France), you agree to be bound by these Terms of Service. Specific project terms will be outlined in individual service agreements. If you do not agree to these terms, please do not use our services.
Services Overview
KEENOPS provides the following services:
- Product & Technical Consulting: Strategic guidance for digital product development
- Fractional CTO Services: Part-time technical leadership and oversight
- Project Governance: Project management and quality assurance
- Software Development: Custom web and mobile application development
Use of Services
You agree to:
- Provide accurate and complete information when engaging our services
- Use our services only for lawful purposes
- Not interfere with or disrupt our website or services
- Not attempt to gain unauthorized access to our systems
- Respect intellectual property rights
Service Agreements
All services are provided under individual service agreements (contracts) tailored to each project. These agreements outline:
- Detailed scope of work and deliverables
- Project timelines, milestones, and deadlines
- Payment terms, pricing, and billing schedule
- Confidentiality and non-disclosure obligations
- Intellectual property rights and ownership
- Acceptance criteria and sign-off procedures
- Change request and amendment processes
In case of conflict between these general Terms and a specific service agreement, the service agreement shall prevail.
Intellectual Property
Our Property
All content on our website, including text, graphics, logos, and code, is the property of KEENOPS and protected by copyright and trademark laws.
Client Property
Unless otherwise specified in a service agreement, all deliverables created for clients become the client's property upon full payment. KEENOPS retains the right to use project examples in portfolios and marketing materials (with client consent).
Payment Terms
- Payment terms are specified in individual service agreements
- Invoices are typically due within 14-30 days of issuance
- Late payments may incur interest charges
- We reserve the right to suspend services for non-payment
- All fees are exclusive of applicable taxes
Confidentiality
Both parties agree to:
- Keep confidential information private and secure
- Use confidential information only for the intended purpose
- Not disclose confidential information to third parties without consent
- Return or destroy confidential information upon request
Warranties and Support
We are committed to delivering high-quality work:
- Quality Guarantee: All deliverables will meet the specifications outlined in the service agreement
- Bug Fixes: We provide a 90-day warranty for bug fixes on delivered code (excludes changes to scope)
- Professional Standards: Work is performed by experienced professionals following industry best practices
- Documentation: Appropriate technical documentation is provided with all deliverables
However, please note:
- We do not guarantee specific business outcomes or ROI
- We are not responsible for third-party services, APIs, or platforms
- Results may vary based on factors outside our control (market conditions, user behavior, etc.)
- Changes to requirements after project start may affect timelines and costs
Limitation of Liability
To the fullest extent permitted by law:
- KEENOPS shall not be liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid for the specific service
- We are not liable for losses resulting from force majeure events
- Clients are responsible for backing up their own data
Project Termination
Either party may terminate a service agreement under the following conditions:
- Mutual Agreement: Both parties agree to terminate with terms specified in writing
- Breach of Contract: Immediate termination for material breach after 14-day cure period
- Non-Payment: Immediate termination and work stoppage for non-payment beyond 30 days
- Force Majeure: Termination without penalty for events beyond reasonable control
Upon Termination:
- Client must pay for all work completed up to the termination date
- KEENOPS will deliver all work-in-progress in its current state
- Confidentiality obligations continue indefinitely
- Both parties return or destroy confidential materials
- No refunds for services already rendered
Dispute Resolution
In the event of a dispute:
- Parties agree to first attempt resolution through good-faith negotiation
- If negotiation fails, disputes will be resolved through arbitration
- Arbitration shall be conducted in accordance with UAE or European laws (as applicable)
- Each party bears its own legal costs unless otherwise determined
Governing Law
The applicable law and jurisdiction depend on the contracting entity:
- KEENOPS FZ-LLC (UAE): Contracts are governed by UAE law and the Dubai International Financial Centre (DIFC) courts
- KEENOPS SASU (France): Contracts are governed by French law and the jurisdiction of French courts
The specific contracting entity will be identified in each service agreement.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or website notice. Continued use of our services after changes constitutes acceptance of the new Terms.
